1. Overview and acceptance
These Terms of Service (“Terms”) are an agreement between you and JDDARS LLC, doing business as GairCor Technologies (“GairCor,” “we,” “our,” or “us”). They govern your use of our website (gaircor.com), App Hub, downloadable software, hosted services, APIs, and support channels (together, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. Some products may have product-specific terms, order forms, or enterprise agreements; where one applies, it controls over these Terms for that product to the extent they conflict.
2. Eligibility
You must be legally capable of entering a binding agreement. Unless a product-specific notice states otherwise, the Services are intended for users who are at least 18 years old. If you use the Services on behalf of an organization, you represent that you have authority to bind it.
3. Scope of services
The Services may include public webpages, an app catalog, downloadable software, hosted web applications, APIs, AI-assisted tools, support content, consultation scheduling, and enterprise implementation services. We may modify, improve, suspend, or discontinue all or part of the Services at any time.
4. Accounts
Downloading apps from the App Hub does not require an account. Individual GairCor products (for example, GairCor Flow and the GairCor AI Prompt Engine) may require their own account, governed by that product's terms. Where an account is used, you are responsible for keeping your credentials confidential, for activity under your account, and for promptly telling us about suspected unauthorized access. We may require additional verification or security steps.
5. Not a regulated financial service
Unless expressly stated in a product-specific agreement or disclosure, the Services are software and technology services. They are not a bank account, a deposit or custodial product, investment, legal, or tax advice, brokerage, or a money-transmission service. If a future product offers a regulated service, it will carry its own disclosures and terms.
6. Fees and purchases
Paid Services require payment of the applicable fees and taxes. Prices, billing cycles, renewal terms, and refund rules are stated in the applicable checkout flow, subscription page, or product-specific terms. If you fail to pay amounts due, we may suspend or terminate access after any required notice.
7. Downloads and licensing
- Free apps are available to download without an account
- Paid tiers (for example, GairCor Tech Tools Pro) require a valid purchase
- Rate limiting applies to prevent abuse
- Signed download URLs expire after 5 minutes
Subject to these Terms and any product-specific license, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use our software for your personal or internal business use. You may not redistribute, sublicense, sell, rent, or lease the software, or reverse engineer, decompile, or disassemble it, except to the extent such a restriction is prohibited by applicable law.
8. Acceptable use
You may not:
- violate any law or regulation;
- access or attempt to access systems, data, or networks without authorization;
- bypass access controls, rate limits, or other technical restrictions;
- scrape, harvest, or mass-download content or data without permission;
- transmit malware or harmful code;
- use the Services for fraud, money laundering, sanctions evasion, harassment, or other harmful or illegal activity;
- interfere with service integrity, availability, or security;
- misrepresent your identity, authority, or eligibility;
- submit false information through contact or scheduling forms.
9. Identity, sanctions, and fraud controls
Where a specific Service or applicable law requires it, we may request identity or other compliance information, screen users and transactions against sanctions and watchlists, and monitor activity for fraud, abuse, or security risk. We may delay, limit, reject, suspend, or terminate access or activity where reasonably necessary to comply with law, protect the Services, or manage risk. The public marketing site and App Hub do not perform identity verification today.
10. AI features and outputs
Some Services include AI-generated or machine-assisted outputs. Outputs may be incomplete, inaccurate, or unsuitable for your intended use. You are responsible for reviewing and validating any output before relying on it. Unless expressly stated otherwise, we do not warrant that AI-assisted output is error-free or fit for legal, financial, or other regulated use without human review.
11. Intellectual property
The Services — including software, code, interfaces, designs, logos, content, and documentation — are owned by GairCor or its licensors and protected by law. Except for the limited rights expressly granted, no rights are transferred to you.
12. Your content and feedback
You retain rights in content you submit. You grant us a non-exclusive, worldwide, royalty-free license to host, process, transmit, analyze, secure, and support that content as needed to provide the Services. If you send us feedback or suggestions, we may use them without restriction or compensation.
13. Third-party services
The Services may link to or interoperate with third-party platforms and providers (for example, Calendly for scheduling). We are not responsible for third-party services, and your use of them is governed by their own terms.
14. Privacy
Our Privacy Policy explains how we collect, use, and share personal data.
15. Availability
We aim to keep the Services available but do not guarantee uninterrupted or error-free operation unless a separate service-level agreement says otherwise. Maintenance, outages, attacks, vendor failures, and events outside our control can affect availability.
16. Termination
You may stop using the Services at any time. We may suspend or terminate your access immediately or on notice if you violate these Terms, create legal or security risk, fail to pay amounts due, provide false information, or if continued provision becomes unlawful or commercially impracticable.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” GAIRCOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
18. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GAIRCOR AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE RELEVANT SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100, UNLESS APPLICABLE LAW REQUIRES OTHERWISE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
19. Indemnity
You agree to indemnify and hold harmless GairCor and its affiliates, officers, employees, and agents from claims, losses, liabilities, damages, and expenses arising out of your misuse of the Services, violation of these Terms or of law, or infringement of third-party rights.
20. Governing law and disputes
These Terms are governed by the laws of the State of Louisiana, United States, excluding its conflict-of-law rules, unless mandatory consumer law requires otherwise. Venue for court disputes is the state or federal courts located in Louisiana. Nothing in these Terms limits rights you hold under applicable consumer or data-protection law that cannot be waived.
21. Changes
We may update these Terms from time to time. If a change is material, we will provide notice as required by applicable law or contract. Continued use after the effective date of updated Terms constitutes acceptance.
